1. Acceptance of Terms
By accessing or using the Verde360 platform, website, and related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you must not access or use the Services.
2. Description of Services
Verde360 provides an environmental compliance management platform that includes:
- Document management for environmental permits, licenses, and compliance records.
- Automated alerts and notifications for regulatory deadlines and expiring documents.
- Access to environmental compliance consultants for advisory services.
We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.
3. Account Registration
To use certain features of the Services, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration.
- Maintain and promptly update your account information to keep it accurate and complete.
- Keep your login credentials confidential and not share them with any third party.
- Notify us immediately of any unauthorized use of your account.
You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to maintain the security of your account.
4. Acceptable Use
You agree not to use the Services to:
- Violate any applicable federal, state, or local law or regulation.
- Upload, transmit, or distribute any content that is unlawful, harmful, threatening, defamatory, or otherwise objectionable.
- Attempt to gain unauthorized access to the Services, other accounts, or any related systems or networks.
- Interfere with or disrupt the integrity or performance of the Services.
- Use the Services for any purpose other than its intended use for environmental compliance management.
- Reverse engineer, decompile, or disassemble any portion of the Services.
- Use automated means (bots, scrapers, etc.) to access or collect data from the Services without our express written consent.
5. Your Content
You retain ownership of all documents, files, and data you upload to the Services ("Your Content"). By uploading Your Content, you grant Verde360 a limited, non-exclusive license to store, process, and display Your Content solely for the purpose of providing the Services to you.
You represent and warrant that:
- You own or have the necessary rights to upload Your Content.
- Your Content does not infringe any third-party intellectual property rights.
- Your Content complies with all applicable laws and regulations.
We do not access, review, or share Your Content except as necessary to provide the Services, comply with legal obligations, or as directed by you (e.g., sharing with assigned consultants).
6. Consultant Services
Verde360 may provide access to environmental compliance consultants as part of the Services. These consultants provide advisory guidance based on the information available to them.
- Consultant advice does not constitute legal advice and should not be relied upon as a substitute for consultation with qualified legal or regulatory professionals.
- Verde360 is not responsible for decisions you make based on consultant recommendations.
- You remain solely responsible for ensuring your operations comply with all applicable environmental laws and regulations.
7. Fees and Payment
Certain features of the Services require payment of fees. By subscribing to a paid plan, you agree to:
- Pay all applicable fees as described at the time of purchase.
- Provide valid and current payment information.
- Authorize us to charge your payment method on a recurring basis for subscription fees until you cancel.
Fees are non-refundable except as expressly stated in these Terms or as required by applicable law. We may change our fees upon 30 days' written notice. Continued use of the Services after a fee change constitutes acceptance of the new fees.
8. Intellectual Property
The Services, including all software, designs, text, graphics, logos, and other materials (excluding Your Content), are owned by Verde360 or its licensors and are protected by copyright, trademark, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes in accordance with these Terms.
You may not copy, modify, distribute, sell, or lease any part of the Services, nor may you use our trademarks or branding without our prior written consent.
9. Confidentiality
Each party agrees to maintain the confidentiality of any proprietary or confidential information received from the other party during the course of using the Services. This obligation does not apply to information that:
- Is or becomes publicly available through no fault of the receiving party.
- Was already known to the receiving party prior to disclosure.
- Is independently developed without reference to the disclosing party's information.
- Is required to be disclosed by law or court order.
10. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Verde360 does not warrant that the Services will be uninterrupted, error-free, or secure, that defects will be corrected, or that the Services will meet your specific requirements. Verde360 does not guarantee the accuracy, completeness, or timeliness of any alerts, notifications, or compliance information provided through the Services.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VERDE 360, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO VERDE 360 DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
12. Indemnification
You agree to indemnify, defend, and hold harmless Verde360 and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of the Services.
- Your violation of these Terms.
- Your violation of any applicable law or regulation.
- Your Content or any data you submit through the Services.
13. Term and Termination
These Terms remain in effect as long as you use the Services. We may suspend or terminate your access to the Services at any time if:
- You breach any provision of these Terms.
- We are required to do so by law.
- We decide to discontinue the Services or any part thereof.
You may terminate your account at any time by contacting us. Upon termination, your right to use the Services ceases immediately. We will make Your Content available for export for a period of 30 days following termination, after which it may be deleted.
Sections relating to intellectual property, disclaimer of warranties, limitation of liability, indemnification, and governing law shall survive termination.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good faith negotiation. If the dispute cannot be resolved within 30 days, either party may submit the dispute to binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in the State of Texas.
Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
15. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after any changes constitutes your acceptance of the revised Terms.
If you do not agree to the revised Terms, you must stop using the Services and terminate your account.
16. General Provisions
- Entire agreement: these Terms, together with our Privacy Policy, constitute the entire agreement between you and Verde360 regarding the Services.
- Severability: if any provision of these Terms is held to be unenforceable, the remaining provisions shall continue in full force and effect.
- Waiver: our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
- Assignment: you may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
- Force majeure: neither party shall be liable for any failure to perform due to causes beyond its reasonable control, including natural disasters, war, terrorism, strikes, or government actions.
